SHIPPEO has developed a digital platform for road freight transportation management services. This collaborative approach creates a direct link between principals (“Principals”) and their carriers (“Carriers”) to provide real-time visibility into the performance of the transportation. Through this platform, SHIPPEO provides Carriers and Principals with features enabling the sharing of the information necessary to monitor the performance of a given transportation order and real-time management of the movement of charters.
The purpose of the Terms of Use is to define the conditions under which SHIPPEO provides the Services to the Licensee and grants it a License to use the Platform and the Tools. By requesting the creation of an Account and accessing the Services by any means whatsoever, the Licensee declares to acknowledge and unreservedly agree to the applicable Terms of Use.
The Terms of Use shall apply for an indefinite period to the Licensee from the date of the creation by SHIPPEO of a Account of the Licensee, unless terminated by SHIPPEO or the Licensee, for any valid reason, having been notified in writing and after a period of fifteen (15) business days, resulting in the automatic and immediate closing of all the Licensee’s Accounts.
The foregoing provisions relating to the term and the termination of the Licensee’s Accounts may be derogated from under specific conditions that may be agreed upon between the Licensee and SHIPPEO.
The Services are provided and the License is granted by SHIPPEO to the Licensee free of charge, unless otherwise specified in any Specific Conditions that may be agreed upon between SHIPPEO and the Licensee.
The Services, the Platform and the Tools are reserved exclusively to Authorized Users having been authorized by the Licensee through SHIPPEO. To this effect, the Licensee must request to SHIPPEO the creation of an Administrator Account. Authorized Users’ access to the Platform, the Tools and the Services is then carried out remotely via the Application or the Interface and via the Internet and requires the use of identifiers and passwords or any other authentication tool provided by SHIPPEO (hereinafter the “Access Codes”), which are communicated by SHIPPEO to the Licensee.
Once an Account is activated, any Administrator authorized by the Licensee may create and administer User Accounts, unless the Licensee delegates these tasks to SHIPPEO. An Administrator may modify User identifiers or passwords directly using the Platform or by requesting assistance from SHIPPEO.
The Licensee must ensure that the Administrator delete or ask SHIPPEO to delete the Accounts of the Users who no longer have use of them, in particular because they are no longer involved in the issuing of transportation orders by the concerned Principal, or in the services provided by the concerned Designated Licensee. Absent such deletion or request for deletion, the Licensee remains solely responsible for any illegitimate access or use of the Accounts by the Users who no longer have the use of such Accounts.
It is strictly forbidden for one User to have several Accounts or to use the Services from an Account opened by another User by fraudulently using the identifiers of such User. Each User is solely responsible for maintaining the confidentiality of his/her identifiers. Each User undertakes to take all necessary measures to ensure their complete confidentiality, in particular, so that no third party can use their identity and Account under conditions likely to violate the rights of third parties or any of the applicable laws or regulations on the Internet.
SHIPPEO grants the Licensee a non-exclusive, non-transferable and non-assignable right to use the Platform and the Tools in order to redistribute them to the Licensee’s Authorized Users, to the exclusion of any third party, for the carrying out of its activity and its internal needs, throughout the world and for the duration of the Term. SHIPPEO provides the Licensee with access to the Platform and the Tools.
The Licensee acknowledges that any update of the Platform and/or the Tools shall not be construed as granting a new License unless otherwise stipulated by SHIPPEO in connection with the provision of a new version of the Platform, the Tools and/or the Database.
Access to the Platform and the Tools, and the use of the Services, require computer equipment with Internet access. SHIPPEO shall provide its best efforts to ensure that access to the Services is available 24 hours a day, seven days a week, except in cases of force majeure or events beyond the SHIPPEO’s control and subject to the potential outages or maintenance necessary to ensure the proper functioning of the Platform, the Tools and the Services. SHIPPEO does not guarantee that the Platform, the Tools and the Services will be permanently accessible. Given the complexity of the Internet, the unequal capacities of the various subnetworks, fluctuations at peak times for certain Internet users, and the various bottlenecks over which SHIPPEO has no control, the responsibility of SHIPPEO is limited to the operation of its Infrastructure, the outer limits of which are constituted by the Connection Points. SHIPPEO cannot be held responsible for:
Given the nature and complexity of the technologies used to provide the Services, SHIPPEO commits to providing reasonable care in the provision of the Services, with the Licensee acknowledging that the Services provided cannot be guaranteed to be free of any defects, faults, interruptions or unavailability. In the event of any defects resulting from elements which are SHIPPEO’s responsibility, the Licensee undertakes to inform SHIPPEO, which will make its best efforts to remedy them as soon as possible. However, SHIPPEO cannot be held responsible for:
SHIPPEO may interrupt the Services, without incurring any responsibility and without fault on its part, for the maintenance of the Tools, the Servers and the Platform, with Users being informed beforehand whenever possible. SHIPPEO may also suspend all or part of the Services in the event of:
It is expressly understood that the Account(s):
In the event where a Licensed Carrier would want to subcontract all or part of the performance of a transportation order to a third party, such third party may autonomously and independently access the Services, the Platform and the Tools in its capacity of Carrier under the same conditions as the Licensee, subject to having an Account that would be specific to such third party thus acquiring the status of Licensed Carrier.
The Services, the Platform and the Tools shall be used in accordance with their intended purpose as described in the Terms of Use. It is the Licensee’s responsibility to ensure:
The Services provide Authorized Users the ability to add Data and Contents , including in the form of “Chat” comments or messages, on the Platform. The Licensee is solely responsible for the comments of its Authorized Users, as SHIPPEO does not modify comments or the Data or Content transmitted by a Licensee via the Platform or the Tools in general. SHIPPEO is also not responsible for decisions made by Licensees on the basis of Data or Content transmitted by another Licensee via the Platform or the Tools.
The Licensee must hold its Authorized Users accountable and ensure that each Authorized User agrees not to issue Data and/or Contents that would render the Licensee liable for one of its Authorized Users, in particular for:
In general, the Licensee undertakes not to transmit through its Authorized Users any material that may violate intellectual property rights or the rights of third parties and in particular, trademark law, personal rights or copyrights.
The Licensee acknowledges having been informed of the risks of errors that may occur when using the Platform, the Tools and the Services.
The Carrier expressly acknowledges and agrees that the use of the Platform, the Tools and the Services engages its responsibility, particularly with respect to the Principals on whose behalf it performs transportation orders. SHIPPEO does not accept any responsibility with regard to Licensees and Authorized Users for any direct or indirect damage that may arise from misuse of the Platform, the Tools and/or the Services. SHIPPEO assumes no responsibility for the Data and/or the Contents posted by Authorized Users, which is the sole responsibility of the Licensee. SHIPPEO also reserves the right to upgrade the Services. Technical changes may be made without prior notice by SHIPPEO.
The Licensee is solely responsible for the preservation, security and integrity of the Access Codes and undertakes to inform SHIPPEO of any loss or misuse of Access Codes, as soon as possible and by any means, and immediately confirming this loss or misuse to SHIPPEO by registered letter with acknowledgment of receipt. Until receipt by SHIPPEO of such confirmation, any action by an Authorized User will be irrefutably deemed to have been performed by the Licensee and will be the Licensee’s sole responsibility in respect of SHIPPEO or third parties.
The Licensee acknowledges that, despite the high level of security standards implemented by SHIPPEO:
SHIPPEO reserves its right to suspend access to the Tools, Platform and/or Services in the event of a legitimate suspicion of fraudulent use or attempted fraudulent use of Access Codes.
SHIPPEO holds the exploitation rights related to and associated with the Platform and the associated Tools and training materials and any successive versions.
Nothing in the Terms of Use may be interpreted as a transfer of ownership or any intellectual property right by SHIPPEO or its licensors, or as transferring any proprietary rights whatsoever to the Tools, the Platform or the rights associated with the Database and the SHIPPEO training materials or any other intellectual property rights of SHIPPEO or its licensors.
Any suggestion as to the correction of errors or comments regarding any new functionality of the Tools, the Platform or the Databases communicated by the Licensee to SHIPPEO is the exclusive property of SHIPPEO. SHIPPEO remains free to choose at its sole discretion whether or not to develop the features or corrections suggested by the Licensee.
Except as expressly provided in the Terms of Use, the Licensee shall have no rights to any of SHIPPEO’s trademarks, service marks or designs, all of which remain the exclusive property of SHIPPEO.
The Licensee shall not register or attempt to register or use any software, trade name, trademark, service mark, domain name or design which, in whole or in part, incorporates or creates by its similarity any confusion with SHIPPEO, its distinctive signs or its Tools, its Platform and/or its Databases.
The Licensee may not sublicense, edit, display, reveal, rent, modify, loan, distribute or create any works derivative of the Tools, the Platform, the Database or any update or version thereof, in whole or in part, or any works derivative of the Contents or Data of other SHIPPEO Licensees accessible via the Tools or the Platform. Except for situations expressly stated in the Terms of Use, the Licensee shall not, and shall not permit any third party, to:
The Licensee shall promptly notify SHIPPEO of any existing, likely or suspected counterfeiting of the Platform, the Tools or a Database or any other intellectual property right of SHIPPEO, and any claim or allegation that the Platform, the Tools or a Database infringes the rights of a third party.
The Licensee acknowledges that the gathering and processing of Data and Contents relating to Authorized Users and to events effecting transportation orders and their performance are necessary in order to benefit from the Services.
For the purpose of providing the Services, SHIPPEO and any subcontractors process, in accordance with the Applicable Regulations on Personal Data Protection in particular:
The Data and Content collected are:
The Licensee owns and is responsible for the Data and the Content it enters or transmits via the Tools or the Platform, including the Data and the Content that it enters in connection with the performance of a transportation order or that the Licensee submits to SHIPPEO for integration into the Tools or the Platform for the purpose of providing the Services. The Licensee hereby grants SHIPPEO a license to use this Data and Content for the purposes of the Terms of Use and the provision of the Services via the Platform and the Tools.
In particular, the Carrier is the owner and is responsible for Authorized Users’ raw identification data, the Carrier’s vehicle identification Data, the GPS positions transmitted by the Carrier’s vehicle and relating to the performance of a transportation order as well as related Content (the “Carrier Data”).
Through the Platform and the Tools, the Carrier’s Data is accessible to the Principal, with whom the Carrier has a contractual relationship for transportation services by way of a transportation order, for the Term and for the purposes of the Services supplied to the Principal concerned by the performance of such transportation order.
In particular, the Carrier’s Data relating to the GPS positions of a transportation order it performs, is processed by the Platform and the Tools in the following conditions.
(i) Collection via an Interface
The registration by SHIPPEO, via an Interface, of the GPS positions of the vehicle of a Carrier performing a transportation order on behalf of a Principal is carried out only if and when said vehicle is assigned to such transportation order and between:
(ii) Collection via the mobile Application
SHIPPEO receives and records the GPS positions of an Authorized User via the Application if the following three cumulative conditions are met:
The GPS positions are accessible to the Principal of a transportation order performed by a Carrier, only if and when a vehicle or an Authorized User of the Carrier is assigned to such transportation order and between:
It is the Licensee’s responsibility to give all necessary information and instructions to Users of the Application regarding the timing and manner of transmitting GPS positions via Interfaces and terminating transmission via Interfaces. Should a User not close the transmission via the Interface of the GPS positions to the Platform and to the Tools, the GPS positions are still processed by the Platform, under the responsibility of the Carrier, and accessible to the Principal concerned.
The data transmitted via the Interfaces and relative to the GPS positions are retained by SHIPPEO for a maximum duration of twelve (12) months necessary for purposes of the data processing. At the end of this twelve (12) month period, this GPS Position Data is automatically deleted.
SHIPPEO undertakes to the Licensee not to engage in any behavior aimed at replacing the Licensee with his or her customers, subcontractors or business partners. In particular, SHIPPEO undertakes not to develop activities as a forwarding agent or Carrier.
The Data and Contents relating to the performance of a transportation order may not in any way be used by SHIPPEO to develop an activity competing with that of the Licensee or to take its place before its trading partners. SHIPPEO particularly undertakes not to make them accessible to a third party except in the cases explicitly described in these Terms of Use.
Each Party shall remain responsible for the processing of personal data which it uses as such and shall thereby indemnify the other Party against any claim based on non-compliance with its obligations in this regard.
Each Party undertakes to comply with the Applicable Regulations on Personal Data Protection.
In the performance of the Services, SHIPPEO shall have access to certain personal data of the Licensee and the Licensee’s Authorized Users.
The collection and transmission by the Licensee to SHIPPEO of personal data relating to the Licensee, its Authorized Users and the GPS positions of its vehicles must be carried out in accordance with the Applicable Regulations on Personal Data Protection .
The Licensee is particularly responsible for informing the Licensee’s Authorized Users and, in general, its agents the personal data of whom is intended to be transmitted to the Platform via the Interfaces, that their personal data or the GPS positions of their vehicles, collected for the purposes of the Services, may be communicated to SHIPPEO for the purpose of processing and monitoring the performance of the transportation orders to which such Data relates.
The Licensee hereby undertakes to comply with all of the legal and regulatory obligations incumbent upon him or her and resulting from the provisions of the Labor Code in respect of his or her employees and agents. In any event, the Licensee shall indemnify SHIPPEO against all governmental or judicial claims, based on the violation by the Licensee or the Licensee’s subcontractors of the legal and regulatory obligations incumbent upon them, relating to full disclosure to their employees or agents and the prior consultation of their representatives, where applicable, on the processing of their personal data resulting from the operation of the Services, the Platform or the Tools.
In accordance with the Applicable Regulations on Personal Data Protection , each Licensee may, through his or her Administrator Account, access the personal data of the Licensee’s Users to have it rectified or, if necessary, request that SHIPPEO delete it, either in connection with the closing of an Account or in the context of the completion of a transportation order, once its performance is completed, subject to SHIPPEO’s statutory obligations to preserve data.
In any event, the Licensee shall carry out the necessary backups of the Data, Content, files, information, or documentation of any kind that it makes available to SHIPPEO.
The Licensee shall designate one or more Administrator(s) in charge of communicating with SHIPPEO and forwarding to SHIPPEO the list of the Licensee’s Authorized Users as well as the Licensee’s authorization for them to access the Platform, the Tools and the Services.
The Licensee is fully responsible for the actions of Authorized Users in respect of SHIPPEO and third parties, including as representative of the Licensee relative to the performance, non-performance or modification of the Terms of Use, having been notified by SHIPPEO to the Licensee or accepted by an Authorized User for the Licensee, who shall be deemed to act in the name and on behalf of the Licensee and to represent it.
Any Authorized User of the Licensee shall be deemed to be aware of and accept any modification and/or new version of the Terms of Use as of their notification, by any means whatsoever by SHIPPEO, as from the first connection to the Platform and/or use of the Tools or the Services by such Authorized User.
In the event of the modification of a contractual document by SHIPPEO, such modification will automatically become an integral part of the Terms of Use as from the occurrence of any of the events referred to in the preceding paragraph.
The Parties undertake not to disclose to third parties any Confidential Information obtained in respect of or in connection with the negotiations prior to the signing of the Terms of Use, as well as in respect of the performance of the Terms of Use and the Services.
Confidential Information means any commercial, technical, financial or economic elements and/or data communicated in any way between the parties, including any printed materials, studies, documentation, accounting documents, rates, software, and more generally by all means and all media, of the confidential information transmitted between the Parties for the purpose of providing the Services, whether or not explicitly identified as such.
The Parties particularly undertake that Confidential Information concerning the other Party shall:
The Parties are reciprocal guarantors of the respect of this confidentiality commitment by the members of their personnel and/or any agent, including Authorized Users.
Any information which is disclosed by the receiving Party at the request of a court or government shall not be deemed to be Confidential Information, provided that the receiving Party promptly notifies the other Party of such request so that it can defend its rights.
The confidentiality obligation of this article will continue for a period of five (5) years at the termination of the Terms of Use and/or the Services for any reason whatsoever.
The Parties agree that all data, information, files and other digital elements exchanged between the Parties will constitute admissible, valid and binding proof with the same evidential weight as a signed written document.
The Parties undertake not to challenge the admissibility, validity, enforceability or evidentiary value of the elements of an electronic nature or format on the basis of such electronic nature or format. In the absence of evidence to the contrary, such proof shall be valid and binding between the Parties in the same manner, under the same conditions and with the same evidential weight as any document which is prepared, received or retained in writing. The provisions of this paragraph shall apply particularly to notifications by SHIPPEO to the Licensee of modifications to the Terms of Use or to the acceptance by the Licensee or an Authorized User of the Terms of Use in accordance with the provisions of Article 9.1. “Management of the Terms of Use”.
SHIPPEO reserves the right to suspend, without notice, access to the Services of all or some of the Authorized Users and in particular to disconnect Accounts from the Internet in the event of non-compliance with the obligations referred to in the Terms of Use. Similarly, in the event of notification by a third party that an Authorized User is using of the Services in a manner detrimental to SHIPPEO or to third parties or that is contrary to the principles of morality, public order or legal and regulatory provisions, SHIPPEO reserves the right to suspend access to the Services or the illicit Content at any time. Any suspension of access to the Services decided upon under this article does not entitle the Licensee to any compensation.
The Licensee is responsible for the Content that its Authorized Users put on line, SHIPPEO assuming no responsibility of any kind whatsoever in this regard. Consequently, the Licensee shall indemnify SHIPPEO against any legal action that may be brought against it, in particular with regard to the Content of its Authorized Users. The Licensee undertakes to be personally responsible with regard to any and all claims and/or procedures, in any form or nature, made against SHIPPEO that are directly or indirectly related to the hosted Content.
To this end, the Licensee particularly undertakes to pay directly to any claimant any sums which such claimant may require from SHIPPEO and to intervene voluntarily, if necessary, in any proceedings against SHIPPEO, and to guarantee any penalties that may be pronounced on such occasion.
The Licensee acknowledges that the Platform, the Tools and the Services it accesses are made available to the Licensee as is and may contain errors. No warranty is made to the Licensee that the Tools, the Platform, the Services, the Content and the Data will subsequently be made available again to the Licensee after the termination of the Terms of Use for any reason whatsoever. SHIPPEO warrants to the Licensee that it will use its best efforts to ensure that the Services will function substantially as set forth in the Terms of Use that is valid on the date that the Services are made available to the Licensee.
SHIPPEO warrants to the Licensee, and to their Users, the peaceful enjoyment of the Platform, the Tool and the Application and the rights granted against any action or claim that may be brought by a third party on the grounds that all or part of the Platform, the Tool and the Application or the Services more generally constitute an infringement of a right, in particular an intellectual property right or unfair competition.
SHIPPEO hereby guarantees the Licensee, as well as their Users, against the consequences of any such action or claim.
In particular, SHIPPEO shall bear all defense costs as well as the financial penalties imposed on the Licensee or their Users by a court decision that has become enforceable or the financial consequences of a memorandum of understanding concluded with the third-party plaintiff.
The Licensee shall inform SHIPPEO as soon as it becomes aware of any claim, demand or proceeding made or brought on such grounds, whether judicial or extrajudicial.
The Licensee also undertakes to provide SHIPPEO with all documents and information in its possession as well as all assistance required that may be necessary for its defense.
In the event that the Licensee is prevented from using all or part of the Platform, the Tool and the Application as a result of a court decision or settlement, SHIPPEO shall, at its own expense and at its own option:
- either obtain for the Licensee the right to continue to use the disputed elements and related documentation;
- or replace or modify the said elements so that they cease to constitute an infringement, this replacement solution having to be carried out on an identical basis.
In view of the complexity of the Services provided, SHIPPEO is subject to a best efforts obligation. It is expressly agreed between the Parties that indirect damages or injury such as business losses, loss of opportunity, loss of orders, commercial problems of any kind, loss of profits or damage to a brand image shall not be compensated.
In any event, compensation of any losses:
The Licensee and the Licensee’s Authorized Users expressly acknowledge that SHIPPEO has, in view of the information brought to their knowledge within the context of the Terms of Use and the Platform, fulfilled its duty to provide advice and information concerning the characteristics of the Services.
The fulfillment of SHIPPEO’s obligations, in respect of the supply of the Services, may be subcontracted, in whole or in part, to any person of its choice, which the Licensee accepts without reservation.
SHIPPEO may transfer to any legal person of its choice all or some of the rights and obligations defined in the Terms of Use, provided that SHIPPEO notifies the Licensee of such transfer.
Neither Party may be held liable to the other for the total or partial non-performance of its obligations under the Terms of use, to the extent that such non-performance is caused by a case of force majeure, within the meaning of Article 1218 of the French Civil Code.
In the event of a case of force majeure as defined in this Article, the Party prevented from fulfilling its obligations undertakes to inform the other Party without delay and by any means.
Initially, cases of force majeure will suspend the performance of the Terms of Use. If a case of force majeure has a duration of longer than three months, the Terms of Use will terminate automatically, unless otherwise agreed between the Parties.
SHIPPEO may suspend or terminate at any time the access of a Licensee and/or some of its Authorized Users to the Services under the terms and conditions set out in the Terms of Use. Each Licensee may also request that access to the accounts of certain Authorized Users be cancelled.
In the event of the termination of the Terms of Use for any cause whatsoever, SHIPPEO will discontinue the Services within 24 hours of the normal expiry or of the written notification of the termination of the Services, unless expressly agreed otherwise in writing between the Parties.
Each Party may use the name, trade name, trademarks and trade visual(s) (logo(s)) of the other Party as a trade reference and include all or part of that information in any commercial and/or technical support, subject to prior notification to the other Party, who may oppose it at any time for any legitimate reason.
The using Party shall, as soon as possible, stop the use of these elements on the supports which may be modified.
SHIPPEO grants the Licensee the right to use its emblems, including the name of the application, solely for the purpose of promoting SHIPPEO’s Platform, Tools and Services to third parties, and subject to prior notice.
If one or more of the provisions of the Terms of Use is annulled or declared as such pursuant to any law, regulation or definitive decision of a competent court, the remaining provisions shall remain in full force.
The fact for either Party not to prevail itself of a breach of any provision of the Terms of Use by the other Party shall be deemed as a waiver to prevail itself of such provision in the future.
The Terms of Use are governed by French law. The Parties shall seek an amicable solution to any difficulties which may arise in connection with the application or interpretation of the Terms of Use.
IN THE EVENT OF A DISPUTE, THE COMMERCIAL COURT OF PARIS (“Tribunal de Commerce de Paris”) SHALL HAVE EXPRESS JURISDICTION, NOTWITHSTANDING MULTIPLE RESPONDENTS OR ACTIVATION OF GUARANTEES, INCLUDING FOR URGENCY PROCEDURES OR PROTECTIVE MEASURES, IN SUMMARY PROCEEDINGS OR ON PETITION.

TERMS OF USE OF SHIPPEO’S SERVICES, PLATFORM, AND TOOLS
SHIPPEO has developed a digital platform for road freight transportation management services. This collaborative approach creates a direct link between customers of SHIPPEO (“Customers”) and their Carriers to provide real-time visibility into the performance of the transportation service. Through this platform, SHIPPEO provides Customers and their Carriers with the right to access and use SHIPPEO’s Software-as-a-Service (“SaaS”) that provides certain shipment tracking data and other information to assist in measurement of the performance of a given Transportation Order and real-time management of the movement of the goods.
The purpose of the Terms of Use is to define the conditions under which SHIPPEO allows the Users to access and use the Services.
User acknowledges that SHIPPEO may modify or update these Terms of Use at any time, in its sole discretion. Any such modification will be effective as of the time at which SHIPPEO notifies Users of the update (including by posting the updated Terms of Use to the Platform). User further acknowledges that SHIPPEO reserves the right to modify or upgrade the Services, Platform, or Tools. Technical changes may be made without prior notice by SHIPPEO.
Any User shall be deemed to be aware of and accept any modification and/or new version of the Terms of Use upon the earlier of (1) receipt of notice of the modification or new update from SHIPPEO, whether by email, by notice on the Platform, or by other means; and (2) first connection to the Platform and/or use of the Tools or the Services following the effective date of such modification or new update.
SHIPPEO may terminate these Terms of Use, or all or part of the access rights granted to Users hereunder and any Services:
SHIPPEO will be entitled to discontinue the Services, including access to the Platform and Tools, within 24 hours of the expiration or termination of the Terms of Use for any cause whatsoever, unless expressly agreed otherwise in writing between the Parties.
For Customers: As a condition of, and as consideration for, SHIPPEO's provision to Customer and Customers’ Users of the right to access to and use of the Platform, the Tools, and the Services, Customer agrees to pay to SHIPPEO the fees set forth in each applicable Order Form in accordance with the payment terms set forth therein.
For Carriers/Designated Users: To the extent that Carrier/Designated Users and Carrier’s Users are accessing the Platform, the Tools, and the Services, each as applicable, in their capacity as a service provider to a Customer, such access is provided free of charge, subject to the other terms and conditions set forth in these Terms of Use.
Access to the Services, the Platform and the Tools are reserved exclusively to Users having been authorized by either the Customer or the Carrier through SHIPPEO. To this effect, the Customer and the Carrier must request to SHIPPEO the creation of an Administrator Account.
Users’ access to the Platform, the Tools and the Services requires the use of certain authentication tools provided by SHIPPEO (hereinafter the “Access Codes”), which are communicated by SHIPPEO to the Customer’s and the Carrier's designated Administrator after receipt of a request. User acknowledges and agrees that all Access Codes must be maintained in confidence, in accordance with the requirements set forth in Section 5.5 below.
The Customer and the Carrier shall designate one or more Administrator(s) charged with communicating with SHIPPEO and forwarding to SHIPPEO the list of their respective Users as well as their authorization for them to access the Platform, the Tools and the Services.
Once the first Administrator Account is activated, any Administrator authorized by the Customer or the Carrier may create and administer User Accounts, unless the Customer or the Carrier delegates these tasks to SHIPPEO. An Administrator may modify User identifiers or passwords directly using the Platform or by requesting assistance from SHIPPEO.
The Customer and the Carrier agree to ensure that the Administrator immediately delete or ask by any means in writing SHIPPEO to delete the Accounts of the Users who no longer have use of them, in particular because they are no longer involved in the issuing or management of Transportation Orders by the concerned Customer. Absent such deletion or request for deletion, the Customer and the Carrier remain solely responsible for any illegitimate access or use of the Accounts by the Users who no longer have the use of such Accounts and any losses or damages relating to such access or use.
It is strictly forbidden for one User to have multiple Accounts or to use the Services from an Account opened by another User by fraudulently using the identifiers of such User. Customer and Carrier shall ensure that each User maintains the confidentiality of their identifiers and Access Codes and takes all necessary measures to ensure their complete confidentiality, in particular, so that no third party can use their identity and Account under conditions likely to violate the rights of third parties or any of the applicable laws or regulations on the Internet.
The Customer and the Carrier are fully and solely responsible for the actions of their respective Users in respect of SHIPPEO and third parties, including as representative of the Users relative to the performance or non-performance of, compliance or non-compliance with, or modification of, the Terms of Use. Any act undertaken by a User shall be deemed to be authorized by, and binding upon, Customer or Carrier.

SHIPPEO does not guarantee that the Services, Platforms, or Tools can be accessed on all devices and networks. Access to the Platform and the Tools, and the use of the Services, requires computer equipment with Internet access, and SHIPPEO is not responsible for any defects or interruptions caused by faulty network or Internet connections, including poor or unstable connections that result in faulty or incomplete data transmission.
SHIPPEO attempts to ensure that access to the Services is available 24 hours a day, SHIPPEO does not guarantee that the Platform, the Tools and the Services will be permanently accessible or available on an uninterrupted basis, or that all functions of the Platform, Tools, or Services will be available at any given time, and the User acknowledges that the Services provided cannot be guaranteed to be free of any defects, faults, interruptions or unavailability.
If User identifies a Service defect or detects an interruption, User will promptly inform SHIPPEO of the defect, and SHIPPEO will use reasonable efforts to investigate the defect and, if and to the extent the defect is caused by systems or infrastructure within SHIPPEO's control, to remediate the defect within a reasonable time period. However, SHIPPEO is not responsible for, and disclaims any liability associated with:
SHIPPEO may suspend the Services, without liability of any kind, as required for the maintenance of the Tools, the Servers and the Platform. SHIPPEO will inform Users of maintenance beforehand whenever practicable under the circumstances. SHIPPEO may also suspend all or part of the Services, without liability of any kind, in the event of:
The Services, the Platform and the Tools shall be used solely for the purposes permitted under these Terms of Use. It is the User’s responsibility to ensure:
The Services provide Users the ability to add or submit Data and Content, including in the form of “Chat” comments or messages, on the Platform. SHIPPEO assumes no responsibility for such Data and/or the Content posted or provided by Users, which is the sole responsibility of the User. Without limiting the foregoing, the Customer, Designated User or the Carrier is solely responsible for the comments of, and Content submitted by their Users, as SHIPPEO does not modify comments or the Data or Content transmitted by a User via the Platform or the Tools in general. SHIPPEO is also not responsible for decisions made by Users on the basis of Data or Content transmitted by another User via the Platform or the Tools.
The Customer, Designated User and the Carrier must hold their respective Users accountable and ensure that each of their respective User agrees not to issue Data and/or Content that is or could reasonably be deemed to be:
In addition, the Customer, Designated User and the Carrier agree to comply with the requirements and restrictions set out in Section 6 below, and they undertake not to transmit, and to ensure that their respective Users do not transmit, any material or Content that may violate intellectual property rights or the rights of third parties and in particular, trademark law, personal rights or copyrights.
The Carrier expressly acknowledges and agrees that the use of the Platform, the Tools and the Services engages its responsibility, particularly with respect to the Customers on whose behalf it performs Transportation Orders.
Each User is solely responsible for the preservation, security and integrity of the Access Codes and undertakes to inform SHIPPEO of any loss or misuse of Access Codes, as soon as possible and by any means, and immediately confirming this loss or misuse to SHIPPEO by registered letter with acknowledgment of receipt. Until receipt by SHIPPEO of such confirmation, any action by a User will be irrefutably deemed to have been performed by the Customer, Designated User or Carrier and will be their respective sole responsibility in respect of SHIPPEO or third parties.
The User acknowledges that, despite the security standards implemented by SHIPPEO:
SHIPPEO reserves its right to suspend access to the Tools, Platform and/or Services without notice, and without liability, in the event of a suspicion of fraudulent use or attempted fraudulent use of Access Codes.
Reserved Rights. The Services, the Platform, the Tools, the Database, and all SHIPPEO Content and Usage Data (as defined below) are the property of SHIPPEO or its licensors and may be protected by copyright, trademark, and other intellectual property laws. Except as expressly set forth in Section 5.2 above, Customer, Designated User and Carrier are not conveyed, and nothing contained herein or in the Services, Platform, or Tools shall be construed to convey to any of them, any right or license, by implication, estoppel or otherwise, in or under any patent, trademark, copyright or proprietary right of SHIPPEO or any third party. Customer shall have no right to reproduce, modify, distribute, or publicly display or perform the software included in the Services. For the avoidance of doubt, the trademarks, logos, and service marks used or displayed in connection with the Services, Platform, and Tools, whether registered or unregistered, may not be used in connection with any product or service that is not offered by SHIPPEO, in any manner that is likely to cause confusion with customers, or in any manner that may otherwise interfere with the SHIPPEO’s ownership of the trademarks or the public’s access to and use of the Services, Platform, or Tools. The Customer, Designated User and Carrier shall not register or attempt to register or use any software, trade name, trademark, service mark, domain name or design which, in whole or in part, incorporates or creates by its similarity any confusion with SHIPPEO, its distinctive signs or its Tools, its Platform and/or its Database.
SHIPPEO Content and Usage Data
Contributions. By submitting to SHIPPEO suggestions or other feedback (“Contributions”) regarding the Services, Platform, Tools, transportation or geolocation data, or other SHIPPEO-provided materials, regardless of the medium in which such Contributions may be provided, User acknowledges and agrees that: (i) SHIPPEO is not under any obligation of confidentiality with respect to the Contributions; (ii) SHIPPEO may use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (iii) User irrevocably, non-exclusively licenses to SHIPPEO rights to exploit the Contributions; and (iv) User is not entitled to any compensation or reimbursement of any kind from SHIPPEO under any circumstances for the Contributions.
Access Restrictions. The User may not sublicense, edit, display, reveal, rent, modify, loan, distribute or create any works derivative of the Tools, the Platform, the Database, the SHIPPEO Content, or any update or version thereof, in whole or in part, or any works derivative of the Content or Data of other SHIPPEO Users accessible via the Tools or the Platform. Except to the limited extent expressly set forth in the Terms of Use, the User shall not, and shall not permit any third party, to:
Infringement Notification. The User shall promptly notify SHIPPEO of any existing, likely or suspected counterfeiting of the Platform, the Tools or the Database or any other intellectual property right of SHIPPEO, and any claim or allegation that the Platform, the Tools or a Database infringes the rights of a third party.
Third-Party Services. Portions of the Platform, Tools, and Services may utilize or include third party applications, products, and services, third-party content (including embedded content), or links to certain third-party websites (collectively, “Third-Party Services”). SHIPPEO does not control, endorse or adopt any Third-Party Service, and inclusion of a link or embedded content does not imply affiliation, endorsement or adoption by SHIPPEO or its licensors of any product, service or content provided thereby or contained therein. When Users interact with a Third-Party Service, that is an interaction with the third party and not with SHIPPEO, undertaken at the Users’ sole risk. Users acknowledge that, in addition to these Terms of Use, the terms and conditions of the relevant Third-Party Service govern use thereof. Such Third-Party Services are not under SHIPPEO's control and SHIPPEO is not responsible for the contents of such Third-Party Services, or any changes or updates to such Third-Party Services. Further, SHIPPEO is not responsible for the privacy practices of any Third-Party Services nor any data or information a Customer, Designated User or Carrier (including their Users) may share with such Third-Party Services, and SHIPPEO makes no warranties, express or implied, as to any Third-Party Services or the products or services they provide.
The User acknowledges that the gathering and processing of Data and Content relating to Users and to events effecting Transportation Orders and their performance are necessary in order to benefit from the Services.
For the purpose of providing the Services, SHIPPEO and any subcontractors process, in accordance with the Applicable Regulations on Personal Data Protection in particular:
The Data and Content collected are:
The USer is solely responsible for the Data and the Content it enters or transmits via the Tools or the Platform, including the Data and the Content that it enters in connection with the performance of a Transportation Order or that the User submits to SHIPPEO for integration into the Tools or the Platform for the purpose of providing the Services.
The User hereby (i) grants SHIPPEO a non-exclusive, non-transferable and non-assignable, worldwide right to use this Data and Content for the purposes contemplated under the Terms of Use, and for purposes of providing the Services, the Platform, and the Tools and improving each of the foregoing; and (ii) represents and warrants that it holds all rights necessary in order to effectively grant the foregoing right, and that SHIPPEO’s use of such Data and Content will not violate the intellectual property, privacy, or other rights of any third party.
If User wishes to transmit or receive Data and Content to or from SHIPPEO via a Tool (e.g., an API or other Data or Content feed), User hereby grants to SHIPPEO a non-exclusive, non-transferable and non-assignable, worldwide right to access User’s software and systems solely to the extent necessary to implement and maintain the Data or Content feed and to provide the Services, including as necessary to automatically push or pull Data or Content to and from such User software and systems. User will reasonably cooperate with SHIPPEO in such implementation and maintenance and, for the avoidance of doubt, SHIPPEO shall not be responsible for any disruptions or errors that occur due to User’s software and systems.
As between the Carrier, the Customer, and SHIPPEO, the Carrier is the owner and is responsible for its Users’ raw identification data, the Carrier’s vehicle identification Data, the GPS positions transmitted by the Carrier’s vehicle and relating to the performance of a Transportation Order as well as related Content (the “Carrier Data”). Carrier agrees that, to the extent it is performing a Transportation Order on behalf of a Customer, it will submit to SHIPPEO, via the Platform, the Application, an Interface, or other geolocation technology, such Carrier Data as is reasonably required in order for SHIPPEO to provide the Services and to enable the Customer to monitor the progress of the Transportation Order on a real-time basis. It is the Customer, Designated User and Carrier’s responsibility to give all necessary information and instructions to Users regarding the timing and manner of transmitting GPS positions and how to terminate transmission to SHIPPEO.
Through the Services, Platform and the Tools, Carrier acknowledges and agrees that the Carrier Data that relates to a Transportation Order for a particular Customer may be made available to that Customer.
In particular, the Carrier’s Data relating to the GPS positions of a Transportation Order it performs, is processed by the Platform, the Database and the Tools in the following conditions.
6.3.2.1.1 Collection via an Interface
The registration by SHIPPEO, via an Interface, of the GPS positions of the vehicle of a Carrier performing a Transportation Order on behalf of a Customer is carried out only if and when said vehicle is assigned to such Transportation Order and between:
6.3.2.1.2 Collection via the mobile Application
SHIPPEO receives and records the GPS positions of an Authorized User via the Application if the following three cumulative conditions are met:
The GPS positions are accessible to the Customer of a Transportation Order performed by a Carrier, only if and when a vehicle or a User of the Carrier is assigned to such Transportation Order and between:
It is the Carrier’s responsibility to give all necessary information and instructions to Users of the Application regarding the timing and manner of transmitting GPS positions via Interfaces and terminating transmission via Interfaces. Should a User not close the transmission via the Interface of the GPS positions to the Platform and to the Tools, the GPS positions are still processed by the Platform, under the responsibility of the Carrier, and accessible to the Customer concerned.
The data transmitted via the Interfaces and relative to the GPS positions are retained by SHIPPEO for a maximum duration of twelve (12) months necessary for purposes of the data processing. At the end of this twelve (12) month period, this GPS Position Data is automatically deleted.
Each Party shall remain responsible for its processing of personal data and shall thereby indemnify the other Party against any claim based on non-compliance with its obligations in this regard.
Each Party undertakes to comply with the Applicable Regulations on Personal Data Protection.
In the performance of the Services, SHIPPEO shall have access to certain personal data of the Customer, the Carrier and their respective Users.
The collection and transmission by the Customer and the Carrier to SHIPPEO of personal data relating to them, their Users and the GPS positions of the vehicles must be carried out in accordance with the Applicable Regulations on Personal Data Protection.
The Customer and the Carrier are responsible for informing their respective Users and its agents (the personal data of whom is intended to be transmitted to the Platform via the Interfaces), that their personal data or the GPS positions of their vehicles, collected for the purposes of the Services, may be communicated to SHIPPEO for the purpose of processing and monitoring the performance of the Transportation Orders to which such Data relates.
Where such rights are provided under Applicable Regulations on Personal Data Protection, each User may, through his or her Administrator Account, access its personal data to have it rectified or, if necessary, request that SHIPPEO delete it, either in connection with the closing of an Account or in the context of the completion of a Transportation Order, once its performance is completed, subject to SHIPPEO’s statutory obligations to preserve data.
Customer and Carrier respectively agree to indemnify, defend, and hold SHIPPEO and its officers, directors, employees, contractors, agents, licensors, service providers, suppliers, successors, and assigns harmless from and against all losses, damages, liabilities, costs and legal fees arising from any claim or demand made by any third party arising directly or indirectly out of or in connection with (i) them or their respective Users' conduct or use or misuse of the Services, (ii) any Content provided by them or their respective Users, including any actual or alleged infringement of the intellectual property or other rights of any third party, (iii) any actual or alleged violation of these Terms by them or their respective Users, or (iv) any actual or alleged violation of any applicable law or regulation by them or their respective Users.
CUSTOMER AND CARRIER, ON BEHALF OF THEMSELF AND THEIR RESPECTIVE USERS, EXPRESSLY ACKNOWLEDGE AND AGREE THAT THEIR USE OF AND ACCESS TO THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT IS AT THEIR SOLE RISK AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT ARE PROVIDED "AS IS" AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND SHIPPEO HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT AND ANY THIRD PARTY SERVICES MADE AVAILABLE VIA THE TOOLS, PLATFORM, OR SERVICES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NONINFRINGEMENT. SHIPPEO DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY WARRANTIES AGAINST INTERFERENCE WITH CUSTOMER’S AND CARRIER’S QUIET ENJOYMENT OF THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT, ANY WARRANTIES THAT THE SHIPPEO CONTENT OR THE FUNCTIONS CONTAINED IN OR PERFORMED OR PROVIDED THROUGH THE TOOLS, PLATFORM, OR SERVICES WILL MEET CUSTOMER’S, DESIGNATED USER’S AND CARRIER’S REQUIREMENTS, THAT THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT WILL BE COMPATIBLE WITH ANY PARTICULAR DEVICE, AND THAT THE OPERATION OF THE TOOLS, PLATFORM, AND SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SHIPPEO WILL CREATE ANY SORT OF WARRANTY. FURTHER, SHIPPEO DOES NOT GUARANTEE OR WARRANT THAT THE TOOLS, THE PLATFORM, THE SERVICES, THE CONTENT AND THE DATA WILL SUBSEQUENTLY BE MADE AVAILABLE AGAIN TO THE CUSTOMER, THE CARRIER AND THE DESIGNATED USER AFTER THE TERMINATION OF THE TERMS OF USE FOR ANY REASON WHATSOEVER.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIPPEO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICES PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE TO CUSTOMER, DESIGNATED USER, CARRIER AND THE RESPECTIVE USERS OR ANYONE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (REGARDLESS OF WHETHER SHIPPEO HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES), HOWEVER CAUSED, WHETHER BASED ON OR UPON CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT, WARRANTY, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR RELATED TO (i) THE USE OR THE INABILITY TO USE THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT, OR ANY ERRORS, OMISSIONS, OR INACCURACIES IN ANY CONTENT AVAILABLE THROUGH THE TOOLS, PLATFORM, OR SERVICES; (ii) THE CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) THE PERFORMANCE OF THE TOOLS, PLATFORM, OR SERVICES; (iv) THE THIRD-PARTY SERVICES; (v) UNAUTHORIZED ACCESS TO OR ALTERATION OF USER DATA, CONTENT, OR PERSONAL INFORMATION; (vi) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT; OR (vii) ANY OTHER MATTER RELATING TO THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT.
IN NO EVENT SHALL SHIPPEO’S TOTAL LIABILITY TO ANY CUSTOMER (INCLUDING ALL OF ITS USERS) IN CONNECTION WITH THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED 100% OF THE TOTAL AMOUNT INVOICED TO THE CUSTOMER UNDER AN ORDER FORM IN THE TWELVE (12) MONTH PERIOD PRECEDING THE DATE UPON WHICH THE CLAIM AROSE.
IN NO EVENT SHALL SHIPPEO’S TOTAL LIABILITY TO ANY CARRIER (INCLUDING ALL OF ITS USERS) IN CONNECTION WITH THE TOOLS, PLATFORM, SERVICES AND SHIPPEO CONTENT FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE SUM OF USD 6.000.
Each Party agrees not to disclose to third parties any Confidential Information of any other Party that is obtained in respect of or in connection with the negotiations prior to the signing of the Terms of Use, as well as in respect of the performance of the Terms of Use and the Services.
“Confidential Information” means any commercial, technical, financial or economic elements and/or Data communicated in any way between the Parties, including any printed materials, studies, documentation, accounting documents, rates, software, and more generally by all means and all media, of the confidential information transmitted between the Parties for the purpose of providing the Services, whether or not explicitly identified as such.
Each Party agrees to comply with the following requirements with respect to the Confidential Information of any other Party:
not copy, reproduce or duplicate, such Confidential Information in whole or in part, where such copies, reproductions or duplications are not reasonably necessary for the purposes set forth above.
Notwithstanding the foregoing, the restrictions on use and disclosure of Confidential Information set forth above will not preclude disclosures required by applicable law; provided, however, that (i) prior to disclosing any Confidential Information of the disclosing Party pursuant to a subpoena, court order, or other legal requirement, the receiving Party will, to the extent permitted by applicable law, notify the disclosing Party of such requirement, and permit and provide reasonable cooperation with the disclosing Party in taking such steps as the other Party reasonably deems appropriate, at the expense of the Party seeking to protect the material, including obtaining a protective order, consistent with applicable law, to minimize any loss of confidentiality and protect the disclosing Party's interests in such disclosed material; and (ii) the receiving Party shall thereafter disclose only the minimum information required to be disclosed in order to comply with such applicable law.
Each Party shall ensure that its respective personnel and service providers, including any Users, comply with the restrictions set forth in this Section 10, and each Party shall be liable for any breach of this Section 10 by its personnel and service providers.
The confidentiality obligations set forth in this Section 10 will continue for a period of five (5) years following the termination or expiration of the Terms of Use and/or the Services for any reason whatsoever.
SHIPPEO reserves the right to suspend, without notice and without liability, access to the Services, the Platform, and/or the Tools for all or some of the Users, and in particular to disconnect or terminate Accounts, where non-compliance with these Terms of Use is suspected or where Access Codes may have been compromised, or where SHIPPEO has reason to believe that a User is using of the Services in a manner detrimental to SHIPPEO or to third parties or that is contrary to the principles of morality, public order or legal and regulatory provisions.
User may not assign or transfer these Terms, or any of its obligations or rights received under these Terms of Use, in whole or in part; and any attempt to do so shall be null and void. SHIPPEO reserves the right to freely assign and transfer these Terms of Use and to subcontract its obligations hereunder to one or more third parties, without any requirement of notice or consent to any other Party.
Any delay in the performance of any duties or obligations of either party, except the payment of money owed, will not be considered a breach of these Terms of Use (or, as applicable, any Order Form) to the extent such delay is caused by a labor dispute, shortage of materials, fire, earthquake, epidemic, flood, act of terrorism, or any other event beyond the reasonable control of such party.
SHIPPEO may use the name, trade name, trademarks and trade visual(s) (logo(s)) of either the Customer or the Carrier as a trade reference and include all or part of that information in any commercial and/or technical support, subject to prior notification to the concerned Party.
SHIPPEO grants the Customer and the Carrier the right to use its emblems, including the name of the application, in accordance with SHIPPEO's then-current trademark usage guidelines and in the form provided by SHIPPEO, solely for the purpose of promoting SHIPPEO’s Platform, Tools and Services to third parties, and subject to prior written notice.
Users may not use or otherwise export or re-export the Services, Platform, or Tools except as authorized by United States law and the laws of the jurisdiction in which the Services, Platform, or Tools were obtained or accessed. In particular, but without limitation, the Services, Platform, and Tools may not be exported or re-exported (i) into any U.S.-embargoed countries or (ii) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.
The Platform, Tools, Database and all related documentation and services are classified as a "commercial item" as that term is defined at 48 C.F.R. § 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. § 12.212. Accordingly, if User or its employing organization are an agency of the U.S. Government or any contractor therefor, User only receives those rights with respect to the Platform, Tools, Databases and such related documentation and services as are granted to all other end users, in accordance with (a) 48 C.F.R. § 227.7201 through 48 C.F.R. § 227.7204, with respect to the Department of Defense and their contractors, or (b) 48 C.F.R. § 12.212, with respect to all other US Government users and their contractors.
If one or more of the provisions of the Terms of Use is annulled or declared as such pursuant to any law, regulation or definitive decision of a competent court, the remaining provisions shall remain in full force and effect.
For purposes of these Terms of Use, (a) the words “include,” “includes,” and “including” are deemed to be followed by the words “without limitation;” (b) the word “or” is not exclusive; and (c) the words “herein,” “hereof,” “hereby,” “hereto,” and “hereunder” refer to these Terms of Use as a whole.
Customer’s, Designated User’s and Carrier’s relation to SHIPPEO is that of independent contractors, and no Party is an agent, employee, or partner of the other. Customer, Designated User and Carrier do not and will not have, and will not represent to any third party that it has, any authority to act on behalf of SHIPPEO.
These Terms of Use, any applicable Order Form, and the Privacy Policy constitute the entire agreement between each User and SHIPPEO with respect to the Services, Tools, and Platform and supersede all prior or contemporaneous understandings regarding such subject matter.
SHIPPEO may provide any notice to Users under these Terms of Use by (i) sending a message to the e-mail address associated with its Administrator Account or (ii) posting to the Platform. Notices sent by e-mail will be effective when sent by SHIPPEO the e-mail, and notices provided by posting will be effective upon posting. To give SHIPPEO notice under these Terms, Users must contact us as follows: (1) by email transmission to or legal@shippeo.com; or (2) by personal delivery, overnight courier or registered or certified mail to Shippeo – Legal 60,62 rue d’Hauteville 75010 Paris. Notices provided by personal delivery will be effective immediately. Notices provided by overnight courier will be effective one business day after they are sent. Notices provided by registered or certified mail will be effective three business days after they are sent.
SHIPPEO’s failure to enforce any of the rights and remedies available to SHIPPEO with respect a User’s breach of these Terms of Use shall not constitute a waiver of such breach nor of any prior, concurrent, or subsequent breach of the same or any other provision of these Terms of Use.
These Terms of Use and the rights and obligations of the Parties with respect to the Services shall be governed by and construed in accordance with the laws of the state of New York, without giving consideration to principles of conflicts of laws. The parties shall attempt in good faith to resolve any dispute arising out of these Terms of Use or the Services. Any action, suit, or proceeding arising out of or related to these Terms of Use or the Services shall be filed, if at all, in the federal district court in the Southern District of New York, New York, to the exclusion of the courts of any other state, country or jurisdiction. The Parties irrevocably consent to the personal jurisdiction over each of them of such court. Any action to enforce any judgment of such court may be instituted in any other forum that has jurisdiction over the Parties.

SHIPPEO a développé une plateforme digitale de services de gestion du transport routier de marchandises. Cette solution collaborative permet de créer un lien direct entre les donneurs d’ordres (« Donneurs d’Ordres ») et leurs transporteurs (« Transporteurs ») pour fournir à ces derniers une visibilité en temps réel sur l’exécution du transport. Au travers de cette plateforme, SHIPPEO fournit aux Transporteurs et aux Donneurs d’Ordres des fonctionnalités permettant le partage des informations nécessaires au suivi de l’exécution d’un ordre de transport déterminé et une gestion en temps réel des flux affrétés.
Les CGU ont pour objet de définir les conditions dans lesquelles SHIPPEO fournit les Services au Licencié et lui concède une Licence d’utilisation de la Plateforme et des Outils. En demandant la création d’un Compte et en accédant aux Services par quelque moyen que ce soit, le Licencié déclare prendre connaissance et accepter sans réserve les CGU applicables.
Les CGU sont applicables au Licencié à compter de la création par SHIPPEO d’un Compte du Licencié pour une durée indéterminée, sauf dénonciation par SHIPPEO ou par le Licencié, pour quelque raison valable que ce soit, notifiée par écrit et respectant un préavis de quinze (15) jours ouvrés, ce qui entraînera la clôture automatique et immédiate de l’ensemble des Comptes du Licencié.
Il peut être dérogé aux dispositions qui précèdent relatives à la durée et à la clôture des Comptes du Licencié dans le cadre de conditions particulières susceptibles d’être convenues entre le Licencié et SHIPPEO.
Les Services sont fournis et la Licence est concédée par SHIPPEO au Licencié à titre gracieux, sauf dispositions contraires prévues dans des Conditions Particulières susceptibles d’être conclues entre SHIPPEO et le Licencié.
Les Services, la Plateforme et les Outils sont uniquement réservés aux Utilisateurs Autorisés habilités par le Licencié auprès de SHIPPEO. A cet effet, le Licencié doit faire une demande de création de Compte Administrateur auprès de SHIPPEO. L’accès à la Plateforme, aux Outils ou aux Services par les Utilisateurs Autorisés se fait ensuite à distance, via l’Application ou l’Interface et par le réseau Internet et nécessite l’utilisation d’identifiants et de mots de passe ou de tout autre disposition d'authentification désigné par SHIPPEO (ci-après, les « Codes d'Accès »), qui seront communiqués par SHIPPEO au Licencié.
Une fois son Compte activé, tout Administrateur habilité par le Licencié, peut créer et administrer les Comptes des Utilisateurs, à moins que le Licencié ne délègue ces tâches à SHIPPEO. Un Administrateur peut modifier les identifiants et les éléments d’identification des Utilisateurs, directement depuis la Plateforme ou en demandant assistance à Shippeo.
Le Licencié doit veiller à ce que l’Administrateur supprime ou demande à SHIPPEO la suppression des Comptes des Utilisateurs qui n’en ont plus l’usage, notamment parce qu’ils ne sont plus impliqués dans l’émission des ordres de transport par le Donneur d’Ordres concerné, dans le suivi des ordres de transports effectué par le Transporteur concerné, ou dans les services délivrés par le Licencié Désigné concerné. En l’absence d’une telle suppression ou demande de suppression, le Licencié reste seul responsable de tout accès et utilisation illégitimes des Comptes par des Utilisateurs n’en ayant plus l’usage.
Il est strictement interdit pour un même Utilisateur de disposer de plusieurs Comptes, ainsi que d’utiliser les Services à partir d'un Compte ouvert par un autre Utilisateur en utilisant frauduleusement les identifiants de cet Utilisateur. Chaque Utilisateur est seul responsable de la préservation de la confidentialité de ses identifiants. Il s'engage à prendre toutes mesures utiles pour assurer sa parfaite confidentialité, notamment afin qu’aucun tiers ne puisse usurper son identité et son Compte dans des conditions susceptibles de porter atteinte aux droits des tiers ainsi qu’à l’ensemble des dispositions légales et réglementaires applicables sur Internet.
SHIPPEO concède au Licencié un droit d’utilisation de la Plateforme et des Outils non-exclusif, non-transférable et non-cessible afin de déployer ceux-ci auprès des Utilisateurs Autorisés du Licencié, à l’exclusion de tout tiers, pour la conduite de son activité et ses besoins internes, pour le monde entier et pour la Durée. SHIPPEO met à la disposition du Licencié un accès à la Plateforme et aux Outils.
Le Licencié reconnaît que toute mise à jour de la Plateforme et/ou des Outils ne saurait être interprétée comme constituant la concession d’une nouvelle Licence, sauf stipulation contraire spécifiée par SHIPPEO à l’occasion de la mise à disposition d’une nouvelle version de la Plateforme, des Outils et/ou de la Base de Données.
L'accès à la Plateforme et aux Outils, comme l’utilisation des Services, nécessitent un équipement informatique disposant d'un accès à Internet. SHIPPEO fait ses meilleurs efforts pour que l’accès aux Services soit possible 24 heures sur 24, 7 jours sur 7, sauf en cas de force majeure ou d'événement hors du contrôle de SHIPPEO et sous réserve des éventuelles pannes et interventions de maintenance nécessaires au bon fonctionnement de la Plateforme, des Outils et des Services. SHIPPEO ne garantit pas que la Plateforme, les Outils et les Services soient accessibles en permanence. Eu égard à la complexité d’Internet, de l’inégalité des capacités des différents sous réseaux, de l’afflux à certaines heures des internautes, des différents goulots d’étranglement sur lesquels SHIPPEO n’a pas de maîtrise, la responsabilité de SHIPPEO est limitée au fonctionnement de son Infrastructure dont les limites extérieures sont constituées par les Points de raccordements. SHIPPEO ne saurait être tenu en aucun cas pour responsable :
Compte tenu de la nature et de la complexité des technologies qui sont mises en œuvre pour la fourniture des Services, SHIPPEO s'engage à apporter tout le soin raisonnablement possible à la fourniture des Services, le Licencié reconnaissant que les Services fournis ne peuvent être exempts d'anomalies, de défaillances, d'interruptions et d'indisponibilités. En cas d'anomalies résultant des éléments à la charge de SHIPPEO, le Licencié s'engage à en informer SHIPPEO qui fera ses meilleurs efforts pour y remédier dans les meilleurs délais. SHIPPEO ne saurait néanmoins en aucun cas être tenu responsable de :
SHIPPEO pourra interrompre les Services, sans engager sa responsabilité et sans faute de sa part, à des fins de maintenance des Outils, des Serveurs et la Plateforme, les Utilisateurs en étant préalablement informés dans la mesure du possible. SHIPPEO pourra également suspendre tout ou partie des Services en cas :
Il est expressément entendu que le(s) Comptes :
Dans l’hypothèse où le Licencié Transporteur souhaiterait sous-traiter tout ou partie de l’exécution d’un ordre de transport à un tiers, ce tiers pourrait accéder de manière autonome et indépendante aux Services, à la Plateforme et aux Outils en qualité de Transporteur dans les mêmes conditions que le Licencié, sous-réserve de disposer d’un Compte qui serait propre à ce tiers acquérant ainsi la qualité de Licencié Transporteur.
Les Services, la Plateforme et les Outils devront être utilisés conformément à leur destination telle que décrite au sein des CGU. Il appartient au Licencié de s'assurer :
Les Services offrent la possibilité aux Utilisateurs Autorisés d’ajouter des Données et des Contenus, notamment sous la forme de commentaires ou de messages du service « Chat », sur la Plateforme. Le Licencié est seul responsable des commentaires de ses Utilisateurs Autorisés, SHIPPEO n’opérant aucune modération des commentaires, et de manière générale, des Données ou Contenus transmis par un Licencié via la Plateforme ou les Outils. SHIPPEO n’est pas davantage responsable des décisions prises par un Licencié à raison des Données ou Contenus transmis par un autre Licencié via la Plateforme et les Outils.
Le Licencié doit responsabiliser ses Utilisateurs Autorisés et s’assurer que chaque Utilisateur Autorisé s’engage à ne pas émettre des Données et/ou Contenus qui seraient de nature à engager la responsabilité du Licencié du fait d’un de ses Utilisateurs Autorisés, notamment :
D’une manière générale, le Licencié s’engage à ne pas transmettre via ses Utilisateurs Autorisés des éléments qui portent atteinte aux droits de propriété intellectuelle ou aux droits des tiers et notamment le droit des marques, le droit de la personne ou le droit d’auteur.
Le Licencié déclare avoir été informé des risques d’erreurs pouvant survenir lors de l’utilisation de la Plateforme, des Outils et des Services.
Le Transporteur est expressément informé et accepte que l’utilisation de la Plateforme, des Outils et des Services engage sa responsabilité notamment vis-à-vis des Donneurs d’Ordres pour le compte desquels il exécute des ordres de transport. SHIPPEO exclut toute responsabilité vis-à-vis du Licencié et des Utilisateurs Autorisés et de tout dommage direct ou indirect qui pourrait survenir lié à une mauvaise utilisation de la Plateforme, des Outils et/ou des Services. SHIPPEO n’assume aucune responsabilité du fait des Données et/ou Contenus mis en ligne par les Utilisateurs Autorisés, qui relèvent de la responsabilité exclusive du Licencié concerné. SHIPPEO se réserve en outre le droit de faire évoluer les Services. Des modifications techniques pourront intervenir sans préavis de la part de SHIPPEO.
Le Licencié est seul responsable de la conservation, de la sécurité et de l'intégrité des Codes d'Accès et s’engage à signaler au SHIPPEO toute perte ou usage abusif des Codes d'Accès, dans les meilleurs délais et par tous moyens, à condition de confirmer sans délai à SHIPPEO cette perte ou cet usage abusif par lettre recommandée avec accusé de réception. Jusqu'à la réception par SHIPPEO d'une telle confirmation, toute action effectuée par un Utilisateur Autorisé sera irréfutablement réputée effectuée par le Licencié et relèvera de la responsabilité exclusive de ce dernier à l’égard de SHIPPEO ou des tiers.
Le Licencié reconnait que, malgré le niveau élevé des normes de sécurité mises en œuvre par SHIPPEO :
SHIPPEO se réserve le droit de suspendre l’accès aux Outils, à la Plateforme et/ou aux Services en cas de suspicion légitime d'usage frauduleux ou de tentative d’usage frauduleux de Codes d’Accès.
Shippeo est titulaire des droits d’exploitation relatifs ou associés à la Plateforme et aux Outils et supports de formation qui s’y rattachent, ainsi qu’à leurs versions successives.
Rien dans les CGU ne pourra être interprété comme un transfert de propriété ou de quelque droit de propriété intellectuelle de la part de SHIPPEO ou de ses donneurs de licence, ou comme transférant quelque droit de propriété que ce soit sur les Outils, la Plateforme ou sur les droits associés à la Base de données et les supports de formation de SHIPPEO ou tout autre droit de propriété intellectuelle de SHIPPEO ou de ses donneurs de licence.
Toute suggestion de correction d’erreur ou d’observations portant sur toute nouvelle fonctionnalité des Outils, de la Plateforme ou des Bases de données formulée par le Licencié à SHIPPEO est la propriété exclusive de SHIPPEO. SHIPPEO demeure libre de choisir à sa seule discrétion de développer les fonctionnalités et corrections suggérées par le Licencié.
Sauf expressément stipulé dans les CGU, le Licencié ne dispose d’aucun droit sur les marques, marques de services, dessins ou modèles de SHIPPEO, qui demeurent tous la propriété exclusive de SHIPPEO.
Le Licencié ne déposera ni ne tentera de déposer ou utiliser quelque logiciel, nom commercial, marque de fabrique, marque de service, nom de domaine ou dessin ou modèle qui, en tout ou partie, s’incorporerait ou prêterait, par sa similitude, à confusion avec SHIPPEO, ses signes distinctifs ou ses Outils, sa Plateforme et/ou ses Bases de données.
Le Licencié ne peut sous-licencier, éditer, afficher, révéler, louer, modifier, prêter, distribuer ou créer des œuvres dérivées des Outils, de la Plateforme, de la Base de données ou d’une correction ou version, en tout ou en partie, ni les Contenus ou Données des autres Licenciés de SHIPPEO accessibles via les Outils ou la Plateforme. En dehors des situations expressément visées dans les CGU, le Licencié s’abstiendra, et ne permettra à aucune tierce partie, de :
Le Licencié signalera au plus vite à SHIPPEO toute contrefaçon présente, prévisible ou suspectée, de la Plateforme, des Outils ou d’une Base de données ou de tout autre droit de propriété intellectuelle de SHIPPEO, ainsi que de toute demande ou allégation sur le fait que la Plateforme, les Outils ou une Base de données contreferait les droits d’une tierce partie.
Le Licencié est informé que la collecte et le traitement des Données et Contenus concernant les Utilisateurs Autorisés et les événements liés aux ordres de transport et à leur exécution, sont nécessaires pour bénéficier des Services.
Pour les besoins de la fourniture des Services, SHIPPEO et ses éventuels sous-traitants traitent notamment, en conformité avec la Réglementation sur la Protection des Données Personnelles :
Les Données et Contenus collectés sont :
Le Licencié est propriétaire et responsable des Données et des Contenus qu'il saisit ou transmet via les Outils ou la Plateforme, incluant les Données et les Contenus qu’il charge en lien avec l’exécution d’un ordre de transport ou qu'il remet à SHIPPEO aux fins de leur intégration par ce dernier sur les Outils ou la Plateforme aux fins de la fourniture des Services. Le Licencié concède à ce titre à SHIPPEO une licence d'exploitation de ces Données et Contenus aux fins des présentes CGU et de la fourniture des Services via la Plate-forme et les Outils.
En particulier, le Transporteur est propriétaire et responsable des Données brutes d’identification des Utilisateurs Autorisés, des Données d’identification des véhicules du Transporteur, des positions GPS transmises par le véhicule du Transporteur et relatives à l’exécution d’un ordre de transport déterminé, ainsi que des Contenus qui s’y rapportent (les « Données du Transporteur »).
Les Données du Transporteur sont accessibles par l’intermédiaire de la Plateforme et des Outils au Donneur d’Ordres avec lequel le Transporteur dispose d’une relation contractuelle de services de transport matérialisée par un ordre de transport, pour la Durée et aux fins des Services fournis au Donneur d’Ordres concerné par l’exécution de cet ordre de transport.
En particulier, les Données du Transporteur relatives aux positions GPS d’un ordre de transport qu’il exécute, sont traitées par la Plateforme et les Outils dans les conditions suivantes.
(i) Collecte via une Interface
L’enregistrement par SHIPPEO via une Interface des positions GPS du véhicule d’un Transporteur exécutant un ordre de transport pour le compte d’un Donneur d’Ordres, s’effectue uniquement si et quand ledit véhicule est affecté à l’ordre de transport concerné et entre :
(ii) Collecte via l’Application mobile
SHIPPEO reçoit et enregistre les positions GPS d’un Utilisateur Autorisé via l’Application si les trois conditions cumulatives suivantes sont réunies :
Les positions GPS sont accessibles au Donneur d’Ordres de l’ordre de transport exécuté par un Transporteur, uniquement si et quand un véhicule ou un Utilisateur Autorisé du Transporteur est affecté à l’ordre de transport concerné et entre :
Il incombe au Licencié de donner toutes informations et instructions nécessaires aux Utilisateurs de l’Application concernant la période et les modalités de transmission des positions GPS via les Interfaces et la fin de leur transmission via les Interfaces. A défaut pour un Utilisateur de clôturer la transmission via l’Interface des positions GPS à la Plateforme et aux Outils, les positions GPS restent, sous la responsabilité du Transporteur, traitées par la Plateforme et accessibles au Donneur d’Ordres concerné.
Les Données transmises via les Interfaces et relatives aux positions GPS sont conservées par SHIPPEO pour une durée maximale de douze (12) mois nécessaire aux finalités du traitement mis en œuvre. A l’issue de ce délai de douze (12) mois, ces Données relatives aux positions GPS seront supprimées.
SHIPPEO s’engage à l’égard du Licencié à ne pas adopter un comportement visant à se substituer à ce dernier auprès de ses clients, sous-traitants ou partenaires commerciaux. En particulier, SHIPPEO s’engage à ne pas développer d’activités de commissionnaire de transports ou de Transporteur.
Les Données et Contenus relatifs à l’exécution d’un ordre de transport ne pourront en aucun cas être utilisés par SHIPPEO pour développer une activité concurrente de celle du Licencié, ni pour se substituer à celui-ci auprès de ses partenaires commerciaux. SHIPPEO s’engage en particulier à ne pas les rendre accessibles à un tiers en dehors des cas explicitement décrits dans les présentes CGU.
Chacune des Parties demeure responsable des traitements de données à caractère personnel qu’elle met en œuvre en cette qualité et garantit à ce titre l’autre Partie contre tout recours qui aurait pour fondement le non respect de ses obligations à cet égard.
Chacune des Parties s’engage à respecter la Réglementation sur la Protection des Données Personnelles.
Pour les besoins de l’exécution des Services, SHIPPEO doit avoir accès à certaines des données personnelles du Licencié et de ses Utilisateurs Autorisés.
La collecte et la transmission par le Licencié à SHIPPEO de données personnelles relatives au Licencié, à ses Utilisateurs Autorisés et aux positions GPS de ses véhicules doivent être réalisées en conformité avec la Réglementation sur la Protection des Données Personnelles , dans les conditions suivantes.
Le Licencié est notamment responsable d’informer ses Utilisateurs Autorisés et, de manière générale, ses préposés dont les données personnelles sont destinées à être transmises à la Plate-forme via les Interfaces, du fait que leurs données personnelles ou que les positions GPS des véhicules qu’ils conduisent collectées pour les besoins des Services, peuvent être communiquées à SHIPPEO afin de permettre le traitement et le suivi de l’exécution des ordres de transports auxquels ces Données se rapportent.
Le Licencié s’engage à ce titre à respecter l’ensemble des obligations légales et réglementaires qui lui incombent et résultant des dispositions du Code du Travail à l’égard de ses salariés et préposés. En tout état de cause, le Licencié garantit SHIPPEO contre tous recours administratifs ou judiciaires, qui serait fondé sur la violation par le Licencié ou par ses sous-traitants éventuels, des obligations légales et réglementaires qui leur incombent individuellement, relatives à l’information complète de leurs salariés ou préposés et à la consultation préalable de leurs représentants, le cas échéant, sur les traitements de leurs données personnelles résultant du fonctionnement des Services, de la Plateforme ou des Outils.
Conformément à la Réglementation sur la Protection des Données Personnelles, chaque Licencié peut, via son Compte Administrateur, accéder aux données personnelles de ses Utilisateurs pour les faire rectifier ou, le cas échéant, en demander la suppression auprès de SHIPPEO, soit dans le cadre de la clôture de son Compte, soit dans le cadre de la clôture d’un ordre de transport, dès lors que son exécution est achevée, sous réserve des obligations légales de conservation qui incombent à SHIPPEO.
En tout état de cause, le Licencié effectue les sauvegardes nécessaires des Données, Contenus, fichiers, informations, documentations de toute nature qu’il serait amené à mettre à disposition de SHIPPEO.
Le Licencié désigne un ou plusieurs Administrateur(s) en charge de communiquer avec SHIPPEO et de lui transmettre la liste des Utilisateurs Autorisés du Licencié, ainsi que leur habilitation par le Licencié à accéder à la Plateforme, aux Outils et aux Services.
Le Licencié est responsable de plein droit des actes des Utilisateurs Autorisés à l’égard de SHIPPEO et des tiers, y compris les actes de représentation du Licencié liés à la conclusion à l’exécution, à l’inexécution ou à la modification des CGU, notifiée par SHIPPEO au Licencié ou acceptée par un Utilisateur Autorisé pour le Licencié, lequel est réputé agir au nom et pour le compte du Licencié et le représenter.
Tout Utilisateur Autorisé du Licencié sera réputé prendre connaissance et accepter toute modification et/ou nouvelle version des CGU à compter de leur notification par quelque moyen que ce soit par SHIPPEO, à partir de la première connexion à la Plateforme et/ou utilisation des Outils ou des Services par ledit Utilisateur Autorisé. En cas de modification d’un document contractuel par SHIPPEO, chaque modification fera automatiquement partie intégrante des CGU à compter de l’un ou l’autre des événements visés au paragraphe précédent.
Les Parties s’engagent à ne pas divulguer à des tiers toute Information Confidentielle obtenue au titre ou à l’occasion des négociations antérieures à la signature des CGU, ainsi qu’au titre de l’exécution des CGU et des Services.
On entend par Information Confidentielle, tous éléments et/ou procédés et/ou données d’ordre commercial, technique, financier, économique communiqués de quelque manière que ce soit entre les parties, y compris tous documents imprimés, études, documentations, documents comptables, tarifs, logiciels et plus généralement tous moyens et supports de l’information confidentielle utilisés pour sa transmission entre les Parties aux fins de la fourniture des Services, qu’ils soient ou non identifiés explicitement comme tels.
Les Parties s’engagent notamment à ce que les Informations Confidentielles concernant l’autre Partie :
Les Parties se portent réciproquement garantes du respect de cet engagement de confidentialité par les membres de leur personnel et/ou tout préposé éventuel incluant les Utilisateurs Autorisés.
Ne sont pas considérées comme des Informations Confidentielles, toutes informations qui sont révélées par la Partie réceptrice sur injonction d’une juridiction ou d’une administration, sous réserve que la Partie réceptrice ait informé sans délai l'autre Partie d'une telle requête afin que celle-ci puisse défendre ses droits.
L'obligation de confidentialité du présent Article survivra à la fin des CGU et/ou des Services pour quelque cause que ce soit pour une durée de 5 (cinq) ans.
Les Parties conviennent que toutes les données, informations, fichiers et tout autre élément numérique échangés entre les Parties constitueront des preuves recevables, valides, opposables et ayant la force probante d'un acte sous seing privé.
Les Parties s’engagent à ne pas contester la recevabilité, la validité, l’opposabilité ou la force probante des éléments de nature ou sous format électronique précités, sur le fondement de leur nature électronique. Sauf preuve contraire, ces éléments seront valables et opposables entre les Parties de la même manière, dans les mêmes conditions et avec la même force probante que tout document qui serait établi, reçu ou conservé par écrit. Les dispositions du présent paragraphe s’appliquent notamment à la notification par SHIPPEO au Licencié des modifications des CGU ou à leur acceptation par le Licencié ou par un Utilisateur Autorisé, conformément aux dispositions de l’Article 9.1. « Gestion des CGU ».
En cas de non-respect des obligations visées aux CGU, SHIPPEO se réserve le droit de suspendre de plein droit et sans préavis l’accès aux Services de tout ou partie des Utilisateurs Autorisés et notamment de déconnecter du réseau Internet les Comptes concernés. De même, en cas de notification par un tiers justifiant qu’un Utilisateur Autorisé fait un usage des Services de nature à porter préjudice à SHIPPEO ou à des tiers ou qui serait contraire aux bonnes mœurs, à l’ordre public et aux dispositions légales et réglementaires, SHIPPEO se réserve le droit de suspendre à tout moment l’accès aux Services ou aux Contenus illicites en cause. Toute suspension d’accès aux Services décidée en application du présent article, n’ouvre droit à aucune indemnité au profit du Licencié.
Le Licencié est responsable des Contenus que ses Utilisateurs Autorisés mettent en ligne, SHIPPEO n’assumant aucune responsabilité de quelque nature que ce soit à ce titre. En conséquence, le Licencié garantit SHIPPEO contre toute action qui serait engagée contre lui notamment au titre des Contenus de ses Utilisateurs Autorisés. Le Licencié s’engage à faire son affaire personnelle de toutes réclamations et/ou procédures, quelque en soit les formes et natures, formulées contre SHIPPEO et qui se rattacheraient directement ou indirectement aux Contenus hébergés.
A cet effet, le Licencié s’engage notamment à régler directement à l’auteur de la réclamation, toutes les sommes que celui-ci exigerait de SHIPPEO, et à intervenir volontairement si nécessaire à toutes les instances engagées contre SHIPPEO, ainsi que de la garantir de toutes les condamnations qui seraient prononcées à cette occasion.
Le Licencié reconnait que la Plateforme, les Outils et les Services auxquels il accède sont mis à sa disposition en l’état et peuvent contenir des erreurs. Aucune garantie n’est faite au Licencié que les Outils, la Plateforme, les Services, les Contenus et les Données seront par la suite de nouveau accessibles au Licencié après la fin des CGU pour quelque cause que ce soit. SHIPPEO garantit au Licencié qu’il fera ses meilleurs efforts afin que les Services fonctionnent substantiellement comme énoncé dans les CGU valides au jour de la mise à disposition des Services au Licencié.
SHIPPEO garantit au Licencié, ainsi qu’à leurs ayants droits, la jouissance paisible de la Plateforme, de l’Outil et de l’Application et des droits concédés contre toute action ou revendication qui pourrait être formée par un tiers sur le fait que tout ou partie de la Plateforme, de l’Outil et de l’Application ou des Services plus globalement constituent une atteinte à un droit, notamment de propriété intellectuelle ou une atteinte au titre de la concurrence déloyale.
SHIPPEO garantit ainsi le Licencié, ainsi que leurs ayants droits, contre les conséquences d’une telle action ou revendication.
Notamment, SHIPPEO prendra à sa charge tous les frais de défense ainsi que les condamnations pécuniaires prononcées contre le Licencié, ou leurs ayant droits par une décision de justice devenue exécutoire ou les conséquences financières d’un protocole d’accord conclu avec le tiers poursuivant.
Dans le cadre de cette garantie le Licencié informe SHIPPEO dès qu'il en a connaissance, de toute demande, réclamation ou instance présentée ou engagée pour un tel motif, par voie judiciaire ou extrajudiciaire.
Le Licencié s'engage également à apporter à SHIPPEO tous les documents et renseignements en sa possession ainsi que toute l'assistance requise qui pourraient être nécessaires à sa défense.
En cas d’empêchement d’utiliser tout ou partie de la Plateforme, de l’Outil et de l’Application du fait d’une décision de justice ou d’une transaction, SHIPPEO doit, à ses frais et à son choix :
- soit obtenir pour le Licencié le droit de continuer à utiliser les éléments litigieux et la documentation afférente ;
- soit remplacer ou modifier lesdits éléments afin qu’ils cessent de constituer une contrefaçon, cette solution de remplacement devant être réalisée à périmètre identique.
Eu égard à la complexité des Services fournis, SHIPPEO est soumis à une obligation de moyens. Il est expressément convenu entre les Parties que les dommages et préjudices indirects tels que notamment préjudice commercial, perte de chance, perte de commandes, trouble commercial quelconque, perte de bénéfices, ou atteinte à l’image de marque, ne donnent pas lieu à réparation.
En tout état de cause, la compensation des dommages :
Le Licencié et ses Utilisateurs Autorisés reconnaissent expressément que SHIPPEO a, du fait des informations portées à leur connaissance dans le cadre des CGU et de la Plateforme, satisfait à ses obligations de conseil et d'informations concernant les caractéristiques des Services.
L'exécution des obligations de SHIPPEO, au titre de la fourniture des Services, pourra être sous-traitée, en tout ou partie, à toute personne de son choix, ce que le Licencié accepte sans réserve.
SHIPPEO pourra céder à toute personne morale de son choix, tout ou partie des droits et obligations définies aux CGU, à charge pour lui d'en informer le Licencié.
Aucune des Parties ne saurait être tenue responsable à l’égard de l’autre de l’inexécution totale ou partielle de ses obligations au titre des présentes CGU, dans la mesure où une telle inexécution est causée par un cas de force majeure, au sens de l’article 1218 du Code civil.
En cas de survenance d’un cas de force majeure tel que défini au présent Article, la Partie empêchée d’accomplir ses obligations s’engage à en avertir sans délai l’autre Partie par tout moyen.
Dans un premier temps, les cas de force majeure suspendront l'exécution des CGU. Si les cas de force majeure ont une durée d'existence supérieure à trois mois, les CGU seront résiliées automatiquement, sauf accord contraire entre les Parties.
SHIPPEO peut suspendre ou cesser à tout moment l’accès d’un Licencié et/ou de certains de ses Utilisateurs Autorisés aux Services dans les conditions visées aux CGU. Chaque Licencié pourra également, demander la suppression de l’accès aux Comptes de certains Utilisateurs Autorisés.
En cas de cessation des CGU pour quelque cause que ce soit SHIPPEO interrompra les Services dans un délai de 24 heures à compter de l’échéance normale ou de la notification par écrit de la cessation des Services, sauf accord contraire exprès, spécifique et écrit entre les Parties.
Chaque Partie pourra utiliser le nom, l’enseigne, les marques et le(s) visuel(s) commercial(aux) (logo(s)) de l’autre Partie comme référence commerciale et faire figurer tout ou partie de ces informations au sein de tout support commercial et/ou technique, sous réserve d’en notifier au préalable la Partie citée, qui pourra s’y opposer à tout moment pour un motif légitime.
La Partie utilisatrice cessera alors dans les meilleurs délais l’utilisation de ces éléments sur ceux des supports qui peuvent être modifiés.
SHIPPEO concède au Licencié le droit d’utiliser ses signes distinctifs, en ce compris la dénomination de l’application, aux seules fins de promouvoir la Plateforme, les Outils et les Services de SHIPPEO auprès des tiers, sous réserve de son information préalable.
Si une ou plusieurs stipulations des CGU sont tenues pour non valides ou déclarées telles en application d’une loi, d’un règlement ou à la suite d’une décision définitive d’une juridiction compétente, les autres stipulations garderont toute leur force et leur portée.
Le fait par l’une des Parties de ne pas se prévaloir d’un manquement de l’autre Partie à l’une quelconque des obligations du Contrat, ne saurait être interprété pour l’avenir comme une renonciation à l’obligation en cause.
Les CGU sont régies par la loi française. Les Parties chercheront une solution amiable à toute difficulté qui pourrait surgir à propos de l’application ou de l’interprétation des CGU.
EN CAS DE LITIGE, COMPÉTENCE EXPRESSE EST ATTRIBUÉE AU TRIBUNAL DE COMMERCE DE PARIS, NONOBSTANT PLURALITÉ DE DÉFENDEURS OU APPEL EN GARANTIE, MÊME POUR LES PROCÉDURES D'URGENCE OU LES PROCÉDURES CONSERVATOIRES, EN RÉFÉRÉ OU SUR REQUÊTE.
